Jurisdiction of corporate disputes – grounds for changing the legal conclusions of the Grand Chamber of the Supreme Court
Abstract
The article is devoted to a comprehensive analysis of the jurisdiction of corporate disputes and disputes closely related to corporate legal relations in the context of the transformation of the legal positions of the Grand Chamber of the Supreme Court. The relevance of the study is determined by the growing contradictions of judicial practice in this area in the absence of significant changes to procedural legislation, which creates significant risks for the principle of legal certainty and predictability of judicial protection.
The purpose of the article is to identify, systematize and scientifically substantiate the criteria that may serve as legal grounds for departing from or clarifying previously formulated legal conclusions of the Supreme Court on the issues of delimitation of jurisdiction in corporate disputes.
The methodological basis of the study is based on the use of dialectical, formal-legal and comparative-legal methods, as well as methods of systemic analysis, legal modeling and interpretation of legal norms and judicial practice.
The scientific novelty of the article lies in the development of a doctrinally grounded approach to understanding the permissible limits of judicial discretion when changing established legal positions, as well as in the argumentation of the need for legislative consolidation of transparent and foreseeable grounds for such deviations. Particular attention is paid to the phenomenon of implicit ("hidden") deviations.
It is concluded that deviations from previous legal positions should be exclusively justified and limited to significant shortcomings of previous court decisions and objective changes in the social and regulatory context. The article substantiates proposals aimed at improving procedural legislation in order to strengthen the unity of judicial practice, increase the level of legal certainty and ensure more effective protection of corporate rights and legitimate interests of participants in corporate relations.
